A commercial agency agreement is a contractual arrangement whereby the agent undertakes to negotiate contracts with third parties on behalf and for the account of the principal, and, if expressly agreed, to enter into contracts with third parties on behalf and for the account of the principal. In consideration, the principal undertakes to remunerate the agent with a specified commission for each contract concluded by the agent or through the agent's actions. To ensure the enforceability of the commercial agency relationship, the legislator has incorporated provisions that also serve to safeguard the rights of both contracting parties. Of particular significance to the agent are the rules governing their entitlement to commission and special compensation, while the principal benefits from provisions granting the parties the right to include clauses restricting or prohibiting certain activities within the contract. Similar to other standard commercial contracts, the commercial agency agreement can be executed for a definite or indefinite period, with a presumption of its continuation if it was originally entered into for a specific term and the parties continue to fulfill their respective obligations upon its expiry. This agreement must be executed in writing, and its fundamental characteristics include formality, specificity, consensus, mutual obligations, and enforceability. The adoption of the Council of Europe Directive has contributed to its substantial development, necessitating alignment of domestic legislation with the regulations of the European Union.
