Abstract
Due diligence postupak (dubinska analiza društva) je proces koji se provodi prilikom spajanja, pripajanja i razdavanja društava s ciljem procjene vrijednosti trgovačkog društva i rizika koji se mogu pojaviti prilikom akvizicije te nakon sklapanja pravnog posla. Potencijalni kupac prikupljanjem, sistematiziranjem i raščlambom podataka o svim aspektima poslovanja ciljanog društva, stvara realnu sliku stanja društva čiji se udjeli prodaju. U ovom radu ćemo se usredotočiti na pravni dio due diligence postupka i detaljnije obraditi tijek procesa pravnog pregleda trgovačkog društva.
Abstract (english)
Due diligence is a process that is carried out during the merger, acquisition, and separation of companies in order to assess the value of the company and the risks that may arise during the acquisition and after the conclusion of a legal transaction. By collecting, systematizing, and analyzing data on all aspects of the target company's business, the potential buyer creates a realistic picture of the state of the company whose shares are being sold. In this paper, we will focus on the legal part of the due diligence procedure and discuss in more detail the course of the legal review process of the company.
